Terms of Service

These Terms of Service ("Terms") are a contract between you and JOTA Enterprises LLC ("Soundcave," "we," "us," or "our"), a Florida limited liability company, governing your access to and use of Soundcave.io and any related apps, dashboards, or services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you don't agree, don't use the Service.

Soundcave lets you create a single "smart link" for a song, release, or profile that routes visitors to the streaming or retail platforms you choose. We provide the link pages, analytics about clicks on those links, and related account features described on our Pricing page. Soundcave also offers Video Maker, a tool for making short lyric videos from your own songs, described in section 9.

You need an account to use most of the Service. You're responsible for keeping your login credentials secure and for all activity that happens under your account. You must provide accurate information when you sign up, and you must be at least 16 years old (or the age of digital consent in your country, if higher) to create an account.

Soundcave offers a Free plan and paid plans (currently Pro and Label) billed monthly or yearly through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. Prices are shown on our Pricing page and may change with notice to active subscribers before the change takes effect.

You can cancel a paid plan at any time from your account's Billing settings. Cancellation takes effect at the end of your current billing period — we don't provide partial-period refunds except where required by law.

If you cancel or your payment fails and your plan lapses to Free: any smart links you already created keep working normally, and every click they've ever tracked stays fully visible in your analytics. The only change is that you won't be able to create an additional smart link beyond the Free plan's limit until you resubscribe. We built it this way on purpose — a billing issue should never take down a link your fans have already saved or shared.

You agree not to use the Service to:

• Link to content you don't have the rights to distribute, or that infringes someone else's copyright, trademark, or other rights;
• Distribute malware, phishing pages, or anything designed to harm visitors or their devices;
• Impersonate another person or entity, or misrepresent your affiliation with one;
• Send spam, or use the Service to facilitate unlawful marketing;
• Attempt to interfere with, disrupt, or gain unauthorized access to the Service or other users' accounts; or
• Use the Service in a way that violates any applicable law.

We may remove content or suspend or terminate accounts that violate this section, with or without notice, at our discretion.

If you connect your own domain to a smart link, you're responsible for owning or having proper authorization to use that domain and for correctly configuring its DNS records. We verify domain ownership before activating a custom domain, but we aren't responsible for DNS or domain-registrar issues outside our systems.

Smart links route visitors to third-party services — Spotify, Apple Music, YouTube, and others — that we don't operate or control. We aren't responsible for those platforms' availability, content, or practices. Your use of any third-party platform is governed by that platform's own terms.

You retain ownership of the content you upload or link to (cover art, track titles, artist names, and similar). By using the Service, you grant us a limited license to host, display, and transmit that content solely to operate the Service on your behalf. We own the Soundcave platform itself — its code, design, themes, and branding — and nothing in these Terms transfers that to you.

Soundcave Charts. By default, your active smart links can appear in Soundcave Charts, weekly rankings visible to other Soundcave users that show a link's title, artist name, cover art, and chart position based on fan activity. You can turn this off for your whole account in Settings, or for a single link from its editor, at any time. Turning it off removes your links from the charts; it doesn't affect your own analytics.

Video Maker lets you upload a song, sync its lyrics automatically, and export short vertical lyric videos. The lyric sync is automatic and can contain mistakes; review your video before you publish it. Plan limits (songs, exports, and what the Free plan includes) are described on our Pricing page.

Your music. You may only upload songs, lyrics, and videos that you own or have the rights to use. By uploading them, you give Soundcave a limited permission to store and process them (including transcribing the vocals and rendering your videos) only to provide Video Maker to you. You remain the owner of your music and lyrics, and you are responsible for any claim that your uploads infringe someone else's rights.

Template clips. The background clips in the Video Maker template library are provided by Soundcave and were generated with artificial intelligence. We give you a non-exclusive, worldwide, royalty-free license to use them as part of the videos you export from Video Maker, including publishing and promoting those videos on any platform, for as long as those videos exist. You may not extract, download, resell, redistribute, or use the template clips on their own or outside a video made with Video Maker. To protect the library, a video can only be exported when sung lyrics carry most of it. Some platforms ask you to label AI-generated content when you post; following those rules is your responsibility.

Storage. Videos exported on a paid plan are available to download for 90 days and can be exported again afterwards from their saved settings. Videos exported on the Free plan carry the Soundcave watermark and are available for 7 days, without re-export. Songs you upload stay in your account until you delete them. Deleting a song or clip does not restore your monthly Video Maker allowance.

You can stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, with notice where reasonably practical.

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the Service will be uninterrupted, error-free, or secure.

To the maximum extent permitted by law, Soundcave and its owners won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim arose.

You agree to indemnify and hold Soundcave harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Polk County, Florida, and you consent to their jurisdiction.

We may update these Terms from time to time. If we make material changes, we'll notify active subscribers by email or an in-app notice before the changes take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.
